Terms of Use
Last updated [date]
These terms are an agreement between you and [CLIPR's legal entity] ("CLIPR", "we") about your use of the CLIPR website and the software behind it (the "Service"). By connecting a wallet, launching a coin or submitting a clip, you agree to them. If you don't agree, don't use the Service.
1. What CLIPR is
CLIPR is software. It helps people launch tokens on pump.fun, a third-party platform on the Solana blockchain, and pays people who make short videos ("clippers") from part of each token's trading fees. CLIPR is not a broker, exchange, investment adviser or bank, doesn't sell tokens, and doesn't hold your wallet's keys.
2. Who can use it
- You must be at least 18 and able to enter into this agreement.
- You can't use the Service if you are in, or a resident of, a country or region where it's prohibited or that is subject to sanctions, or if you are on a sanctions list. [Counsel to list restricted jurisdictions.]
- You are responsible for following the laws that apply to you, including taxes on anything you earn.
3. Memecoins are extremely risky
Tokens launched through CLIPR are memecoins. They are highly speculative, usually have no utility, and can lose all of their value quickly. Anyone can launch one; CLIPR doesn't check, endorse or vouch for any token or its creator. Nothing on CLIPR is financial, investment, legal or tax advice, and nothing is a promise of profit. Only use money you can afford to lose.
4. Your wallet and transactions
You control your wallet and are responsible for keeping it secure. Blockchain transactions are final: CLIPR can't reverse, cancel or refund them, including ones sent to a wrong address. You pay the network fees for transactions you sign.
5. Fees
When a coin is launched on CLIPR, its pump.fun creator fees are split, and the split is locked on-chain for good at launch: 75% to the coin's Clip Pool (which pays clippers), 15% to CLIPR (which goes to CLIPR), and 10% to the coin's creator. pump.fun charges its own fees and has its own terms, which also apply.
6. Clip Pools and payouts
- Each coin's Clip Pool is funded only by that coin's trading fees. If a coin isn't traded, its pool doesn't grow, and payouts stop when it runs out.
- Approved clips earn the coin's rate per 1,000 views, paid in SOL to the wallet you signed in with. CLIPR doesn't guarantee any amount of earnings or views.
- Views come from public data provided by third parties, checked periodically. They can be delayed, incomplete or corrected. CLIPR's count is the one used for payment.
- Payouts are automatic and may be batched, limited per payout and per day, or paused for safety. A first payout to an empty wallet waits until it's at least 0.001 SOL, because Solana won't send less to a new wallet.
- CLIPR may withhold, reverse in its records, or refuse payment for views it reasonably believes are fake, bought or otherwise against these terms.
7. Coin creators
- You are responsible for your coin, its name, image, description and links, and for anything you say about it.
- Don't impersonate anyone, use others' trademarks or copyrighted images without permission, or launch a coin that's illegal or misleading.
- You review clips submitted for your coin. CLIPR may also review them, for example when you don't.
- Coin details you submit are published permanently (on the blockchain and IPFS) and can't be changed or removed afterwards, by you or by CLIPR.
8. Clippers
- Only submit videos you made and posted, from accounts you control, and that you have the rights to.
- Clips you're paid for are paid promotion. Disclose it as the law and each platform require (for example #ad, or the platform's paid partnership label). [Counsel to confirm requirements, e.g. FTC Endorsement Guides.]
- Don't give financial advice or promise returns in your clips, and don't make false or misleading claims about a coin.
- No bought, botted or fake views, engagement or accounts. No re-uploads of others' videos.
- Follow TikTok's, Instagram's and YouTube's rules. CLIPR isn't affiliated with them.
- Breaking these rules can mean rejected clips, withheld earnings and losing access.
9. Things you can't do
- Fraud, market manipulation (such as wash trading or coordinated pump-and-dump schemes), or anything illegal.
- Exploiting bugs, attacking or overloading the Service, or getting around its limits.
- Using the Service to launder money or to evade sanctions.
10. How the escrow works, and its risks
Each coin's Clip Pool sits in its own on-chain escrow vault. The escrow has no withdraw function: SOL only leaves a vault as a payout to a clipper, for amounts CLIPR's payout key has signed, within per-payout and daily limits. CLIPR can pause payouts and change those limits; on mainnet those changes, and upgrades to the escrow program, are made by a multisig and wait 24 hours, and a separate key can only pause.
Software and blockchains can fail. Bugs, network outages, changes made by pump.fun or Solana, or a compromised key could delay payouts or lose funds. CLIPR works to prevent this but can't guarantee it. More on safety.
11. Other services
CLIPR relies on services it doesn't control, including pump.fun, the Solana network, wallets, TikTok, Instagram, YouTube and data providers. Their terms apply to your use of them, and CLIPR isn't responsible for them.
12. Content
You keep the rights to what you submit. You let CLIPR display it on the Service (for example coin images, and links to and previews of clips) for as long as it's submitted. CLIPR's name, logo and site belong to CLIPR.
13. No warranties
The Service is provided "as is" and "as available", without warranties of any kind, to the fullest extent the law allows. [Counsel to finalize.]
14. Limitation of liability
To the fullest extent the law allows, CLIPR isn't liable for indirect or consequential losses, lost profits, or the value of any token, and its total liability is limited to [amount]. [Counsel to finalize.]
15. Indemnity
You agree to cover CLIPR's losses from claims caused by your coins, your clips, or your breaking these terms or the law. [Counsel to finalize.]
16. Changes and ending access
CLIPR may change the Service or these terms; the date above shows when they last changed, and using the Service afterwards means you accept them. CLIPR may suspend or end access for anyone who breaks these terms. On-chain parts (locked fee splits, vaults) keep working regardless.
17. Law and disputes
[Governing law, venue, and any arbitration or class-action waiver: counsel to complete.]
